# Terms and Conditions

These terms govern your use of www.uniqueside.io (the "Site") and any services delivered by UniqueSide Pte. Ltd. ("UniqueSide", "we", "us"). By using the Site or engaging us, you agree to these terms.

## 1. Use of the Site

You may browse and use the Site for lawful purposes. You may not:

- Attempt to break, scrape at scale, overload, or reverse-engineer the Site beyond what robots.txt allows
- Use the Site to send spam, malware, or unlawful content
- Misrepresent your affiliation with UniqueSide

## 2. Project Engagements

Each engagement is governed by a separate written proposal or statement of work that includes scope, price, timeline, and deliverables. Where the proposal conflicts with these terms, the proposal controls.

- **Pricing** is fixed unless otherwise agreed in writing.
- **Payment terms** are stated in the proposal — typically 50% to start and 50% on delivery.
- **Scope changes** require a written change order.

## 3. Intellectual Property

- **Client work product** — You own all source code, designs, and IP we deliver under a project engagement, on full payment of agreed fees.
- **Our tools and reusable components** — UniqueSide retains ownership of internal libraries, boilerplates, processes, and methodologies. You receive a perpetual license to use them within the delivered product.
- **Site content** — All content on www.uniqueside.io is owned by UniqueSide unless otherwise credited. You may not republish without permission.

## 4. AI Crawlers and Markdown Layer

We allow AI crawlers (including GPTBot, ClaudeBot, PerplexityBot, Google-Extended, and others) to access the Site's public pages and the markdown versions of those pages, for the purpose of indexing publicly visible content. This permission may be revoked at any time via robots.txt or other technical controls.

## 5. Confidentiality

We treat all client information as confidential, including business plans, technical details, and source code. We will sign your NDA on request.

## 6. Warranties and Liability

- We warrant that delivered work will substantially conform to the agreed scope.
- We do not warrant that the Site or services will be uninterrupted or error-free.
- To the extent permitted by Singapore law, our total liability for any engagement is capped at the fees paid for that engagement.
- We are not liable for indirect, incidental, or consequential damages.

## 7. Termination

Either party may terminate an engagement with written notice. On termination:

- Fees for work completed through the termination date are due.
- Source code and assets completed up to that point are handed over on payment.

## 8. Governing Law

These terms are governed by the laws of Singapore. Disputes are subject to the exclusive jurisdiction of Singapore courts.

## 9. Changes

We may update these terms from time to time. Material changes will be reflected in the "Last updated" date.
